WHEREAS, the Banking Commissioner (“Commissioner”) is charged with the administration of Chapter 672a of the Connecticut General Statutes, the Connecticut Uniform Securities Act (“Act”), and the regulations promulgated thereunder (Sections 36b-31-2 to 36b-31-33, inclusive, of the Regulations of Connecticut State Agencies) (“Regulations”);

WHEREAS, pursuant to Section 36b-26(a) of the 2006 Supplement to the General Statutes, the Commissioner, through the Securities and Business Investments Division of the Department of Banking, conducted an investigation into the activities of Respondent to determine if she had violated, was violating or was about to violate provisions of the Act or Regulations;

WHEREAS, on November 21, 2006, acting pursuant to Sections 36b-27(a) and 36b-27(d) of the 2006 Supplement to the General Statutes, the Commissioner issued an Order to Cease and Desist, Notice of Intent to Fine and Notice of Right to Hearing (collectively “Notice”) against Respondent;

WHEREAS, the Notice alleged that Respondent offered and sold unregistered securities in violation of Section 36b-16 of the Act, committed fraud in the offer and sale of securities in violation of Section 36b-4(a) of the Act and acted as an agent of issuer absent registration in violation of Section 36b-6(a) of the 2006 Supplement to the Connecticut General Statutes;

WHEREAS, on December 6, 2006, Respondent requested a hearing on the Notice;

WHEREAS, on December 11, 2006, the Commissioner issued a Notification of Hearing and Designation of Hearing Officer (“Notification of Hearing”);

WHEREAS, the hearing is currently scheduled for April 17, 2007;

WHEREAS, on February 13, 2007, the Commissioner received notification and documentation that Respondent was pronounced dead on February 6, 2007;

AND WHEREAS, Section 36a-1-55(b) of the Regulations provides in pertinent part, that “[t]he commissioner may withdraw an order at any time before a final decision is issued.”

NOW THEREFORE, the Order to Cease and Desist and Notice of Intent to Fine issued against Respondent on November 21, 2006, and the Notification of Hearing and Designation of Hearing Officer dated December 11, 2006, are hereby WITHDRAWN.
